We advised an individual investor on entering into a start-up operating in the IT industry. Our services included adapting the provisions of articles of association of a limited liability company to reflect the fact that an investor entered the company. Our task was to do it in such a way as to give them real influence on the company’s operations (despite a relatively small number of shares), protect the capital against dilution, guarantee the annual payment of a fixed part of the company’s profit, and ensure fair repayment of the client’s heirs by other partners (the client’s shares were redeemed in the case of their death).
